Company Registration

The procedures of setting up a Thai private company are as follows:

  1. A promoter makes a reservation of the company’s name with the Department of Business Development, Ministry of Commerce. Once the company name has been granted, such approved company name is valid for 30 days. Extension is not allowed.
  2. There are at least three promoters who have jointly conducted the preparation of a Memorandum of Association. The three promoters must have the following features.
    2.1) Must be the natural persons.
    2.2) Must be aged 12 years or more.
    2.3) Must reserve share subscription of at least 1 share.
  3. The promoters file the Memorandum of Association for registration with the Department of Business Development within 30 days commencing from the date of reservation of company name approved.
  4. Once the Memorandum of Association has been registered, the promoters must arrange to have all shares of the company subscribed.
  5. The promoters send the notice convening a Statutory Meeting to the subscribers not less than seven days before the date of the meeting.
  6. The meeting nominates the director and an auditor is appointed. The director calls for a minimum of 25% of the value of subscribed share which must be paid by the promoter and subscribers.
  7. The director must file the application for company incorporation with the Department of Business Development within three months of the date of the Statutory Meeting.

To establish the company, the registration of a Memorandum of Association and company incorporation can be proceeded with in one day.

** In the case of a company which has a foreign shareholder holding 40 % but not over 50% of all shares or a foreigner shareholder holding lower than 40% of all shares but the authorized director is a foreigner, all Thai shareholders are required to submit the evidencing document to show their funds in accordance with the payment of share holding.

Government Fees

  1. The Memorandum of Association registration fee is 50 baht for every 100,000 baht of registered capital. The minimum fee is 500 baht, and the maximum is 25,000 baht.
  2. The company incorporation registration fee is 500 baht for every 100,000 baht of registered capital. The minimum fee is 5,000 baht, and the maximum is 250,000 baht.
  3. The stamp duty fee is 400 baht.
  4. Certified copy of the company affidavit is 200 baht.
  5. Certificate of Incorporation is 100 baht.
  6. Certified copy of any other incorporation document is 50 baht per page.

Corporate Tax ID

The company must apply for a number and a tax identity card from the Revenue Department within 60 days of incorporation, or within 60 days of the start of operations.

VAT Registration

Business operators earning more than Baht 1,800,000 per annum must register for VAT within 30 days commencing from the date of reaching of that figure in sales.
